 Why Must we be Concerned with US Export Control Laws?

There are a wide variety of U.S. laws and regulations that affect technology transactions.  Some address importing or exporting of goods, services and technology.  Others regulate the who, where and what a U.S. person (individuals and companies) can export or even share with a foreign person in the US.  Since September 11, 2001, the US government has increased its focus on the regulatory, administrative and judicial enforcement of export control law cases. Don't learn the hard way.  Come learn whether you can take "Technical Data" outside of the US without a license.  What is the licensing process?  When is an item dual use and governed by the Department of Commerce?  What do you do if you discover a violation?   Are you personally at risk for a violation or just your employer?  We will discuss these issues and more  .........

Doreen Edelman has significant experience on import and export matters, including advising client on U.S. laws relating to the export and import of defense articles, services and technologies and dual-use goods and technologies. She regularly represents clients before the Bureau of Industry and Security (BIS) of the Department of Commerce, the Directorate of Defense Controls (DDTC) of the Department of State, and the Office of Foreign Assets Control (OFAC) of the Department of Treasury. She has experience with licensing, commodity jurisdiction and classification requests, internal and external audits, voluntary disclosures and U.S. government investigations. She also has experience ensuring export and import legal requirements are met in merger and acquisition due diligence.  Ms. Edelman also advises clients regarding compliance anti-corruption laws, including the FCPA, and assists in internal and U.S. government investigations relating to export controls, FCPA and other U.S. Government investigations, including criminal trials.

Additionally, Ms. Edelman works with U.S. companies entering new markets overseas and foreign companies doing business in the U.S. This includes drafting agency, licensing and distribution agreements for large and small companies, working with foreign counsel to assist her clients overseas and navigating U.S. foreign investment reporting requirements and the Committee on Foreign Investment in the U.S. (CFIUS). She helps companies prepare global business plans, establish offshore corporations, and obtain foreign government approvals.

For companies expanding into the U.S. market, Ms. Edelman advises on product importation issues such as tariff classification, valuation and duty rate as well as the benefits of free trade programs like GSP and NAFTA. She recently advised the Sultanate of Oman in its bilateral negotiations with the U.S. Government and secured passage of an FTA. She is also General Counsel to the American Turkish Council, a bilateral trade organization comprised of major U.S. and Turkish companies.

Ms. Edelman's work has carried her to all corners of the world, whether helping to establish a natural gas facility in Turkey, protecting a client's intellectual property in Japan, or watching out for the interests of a major fast-food chain franchisor in Latin America. She is co-author of a comprehensive analysis of the North American Free Trade Agreement and many trade related articles. Through all her work, Ms. Edelman offers her clients a combination of transactional expertise and business savvy, helping them establish strategic plans for entering new markets and intervening on their behalf with government regulators and policymakers.
